Terms of Service
Effective August 19, 2026
These terms govern use of Tempry - absence management, performance reviews, and 1-on-1s software, including its web app and its Slack integration. By creating an account or using Tempry, you agree to them.
Tempry is provided by Vladyslav Tkachuk and Yuriy Rachek ("we," "us"). These terms form an agreement between us and the organization that signed up for Tempry (the "customer"). If you're using Tempry because your employer set it up, your employer is the customer and controls your account.
Business use and authority
Tempry is a business tool, sold to organizations rather than to individual consumers. By accepting these terms you confirm you're doing so on behalf of an organization and have the authority to bind it.
The service
Tempry lets a company track time off, run performance reviews, and manage 1-on-1s, from a web dashboard and, if connected, from Slack. We may add, change, or remove features over time. Where a change materially reduces core functionality you rely on, we'll aim to give reasonable advance notice.
Features labelled beta, preview, or experimental are provided for evaluation, may change or be withdrawn at any time, and are excluded from any commitment in these terms.
Accounts and access
A company admin creates the organization's account and controls who has access, what role they hold, and when their access is removed. The customer is responsible for its users' activity, for keeping login credentials secure, and for telling us promptly if it suspects unauthorized access.
Plans, billing, and taxes
Tempry is free for organizations with up to 15 people. Paid plans are billed per user, per month at the pricing shown on our pricing page at the time of purchase. Fees are exclusive of VAT and any other applicable taxes, which the customer is responsible for.
A company admin can cancel a paid plan at any time; cancellation takes effect at the end of the current billing period, and we don't provide partial refunds for unused time within a period. We may change pricing with at least 30 days' notice before it applies to a customer's next billing period. If a payment fails, we may suspend access to paid features after notifying the company admin.
The free plan is offered as-is and may be changed, limited, or discontinued at any time.
Acceptable use
Use Tempry only for its intended purpose - managing your organization's time off, reviews, and 1-on-1s. Don't use it to store or transmit unlawful content, attempt to gain unauthorized access to other organizations' data, probe or disrupt the service's operation, resell it without our agreement, or reverse-engineer it beyond what applicable law permits.
Slack and other integrations
Connecting Tempry to Slack (or another third-party service we integrate with) is optional and controlled by a company admin. Once connected, Tempry can post messages, respond to commands, and read data from that service as described in our Privacy Policy. Your use of Slack is governed by Slack's own terms, not these - we're not responsible for Slack's availability, changes, pricing, or policies, and an outage or change on their side may affect what Tempry can do.
Your data
The customer's data - leave records, review content, 1-on-1 notes, and anything else entered into Tempry - remains the customer's. You grant us the limited right to host, process, and transmit that data solely to operate and support the service, as described in our Privacy Policy.
Where the data includes personal data of people in the EU/EEA, the customer acts as the data controller and we act as a data processor on the customer's instructions. Email us at [email protected] to put a data processing agreement in place.
We take reasonable measures to keep data safe, but the customer is responsible for keeping its own records of anything it can't afford to lose. We don't guarantee against data loss and aren't a substitute for the customer's own backups or record-keeping obligations.
Feedback
If you send us suggestions or feedback about Tempry, we can use them to improve the product without restriction or obligation to you.
Intellectual property
Tempry - the software, branding, and site - is ours. These terms don't grant you any ownership in it; you get a non-exclusive, non-transferable right to use the service as intended for as long as the account is active.
Termination and your data afterwards
A company admin can stop using Tempry and close the organization's account at any time. We may suspend or terminate an account that breaches these terms, after a reasonable effort to reach the company admin first, except where immediate action is needed to protect other customers, the service, or someone's rights.
After an account closes, the customer has 30 days to request an export of its data. After that we delete it from production systems as described in our Privacy Policy, aside from anything we're required to retain by law.
Disclaimer
Tempry is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, or available at all times.
Tempry helps you track leave and related records, but it isn't legal, HR, tax, or payroll advice. You're responsible for making sure how you use it meets your own legal and employment obligations.
Limitation of liability
To the fullest extent permitted by law: we're not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from use of Tempry. Our total aggregate liability for all claims arising from these terms or use of Tempry - whether in contract, tort, or otherwise - won't exceed the amount the customer paid us for the service in the 12 months before the claim arose, or 100 EUR if the customer hasn't paid us anything.
Nothing in these terms excludes or limits liability that can't be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
Indemnification
The customer agrees to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from its misuse of Tempry, the content or data it submits, or its breach of these terms or applicable law.
Force majeure
We're not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including outages of infrastructure or third-party services we depend on (such as Slack, Google, or our hosting provider), network failures, natural disasters, or other events of similar nature.
Changes to these terms
If we make material changes, we'll update the effective date above and, where required, notify affected customers. Continued use of Tempry after a change takes effect means the customer accepts the updated terms.
Assignment
The customer may not assign or transfer these terms without our written consent. We may assign them - including to a company we form to operate Tempry, or as part of a merger, acquisition, or sale of the business - on notice to the customer.
General
If any provision of these terms is found unenforceable, the rest stays in effect and the unenforceable part is applied as closely as possible to its original intent. Not enforcing a right isn't a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between us about Tempry and replace any earlier understanding on the subject.
The sections on your data, intellectual property, disclaimer, limitation of liability, indemnification, governing law, and this general section survive termination.
Governing law
These terms are governed by the laws of the Republic of Lithuania, without regard to its conflict-of-law rules. Any dispute arising from these terms or use of Tempry will be subject to the exclusive jurisdiction of the courts of Lithuania.
